Agreeing to these Terms
These Terms are an agreement between you and Piedmont Systems & Software LLC, a company formed in North Carolina, United States (“EditorFlows”, “we”). They apply whenever you use editorflows.com. By creating an account or using the site, you agree to them, to our Privacy Policy and to the Human-Made Policy.
If you don't agree, please don't use EditorFlows.
Your account
- You must be at least 18 years old and able to enter a binding contract.
- Give accurate information and keep it up to date.
- Keep your password secure. You're responsible for what happens under your account.
- One person, one account, unless we agree otherwise. Don't sell or transfer your account.
What EditorFlows is
EditorFlows is a marketplace that helps clients find independent video editors, motion designers and graphic designers. Freelancers are independent businesses, not employees or agents of EditorFlows.
Agreements for creative work are between the client and the freelancer. We review freelancer applications by hand, but we don't guarantee the quality, timing or results of any work, and we can't verify every statement a user makes.
Freelancer applications
Freelancer profiles and services become public only after we approve an application. We decide whether to approve, ask for changes, reject or later suspend a profile, and we may hide individual services. We'll usually explain why.
Freelancers must follow the Human-Made Policy. Breaking it can lead to hidden services, suspension or removal.
Your content
You keep ownership of what you post: profile details, portfolio pieces, service descriptions and messages. You give EditorFlows a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce and format that content to run and promote the marketplace (for example, showing your profile in search). The license ends when you delete the content or your account, except for copies we must keep by law or in backups for a limited time.
Only post work you made or have permission to show. If you made a portfolio piece for a client, make sure you're allowed to share it.
Orders, cancellations and refunds
Placing an order. A client orders a package or accepts a freelancer's custom offer. The price, delivery time and number of revisions are fixed at that moment. A package order starts when the freelancer accepts it; if they don't accept within 3 days, it's canceled and the client isn't charged. An accepted custom offer starts straight away.
Delivery and review. The freelancer delivers files or links on the order page. The client can accept the delivery, use one of the revisions included in the order, or open a dispute. If the client does none of these within 10 days of a delivery, the order completes automatically. Asking for a revision or opening a dispute pauses that clock.
Cancellations and refunds.
- Before the freelancer accepts, the client can cancel and isn't charged.
- If the delivery date passes without a delivery, the client can cancel for a full refund.
- Either side can propose canceling at any time, with a full or partial refund, and the other side can accept.
- Not liking a delivery isn't a reason for a refund: use the revisions in the order. If a delivery doesn't match what was ordered, open a dispute and EditorFlows will decide on a full, partial or no refund.
- If we confirm a breach of the Human-Made Policy, the client gets a full refund.
- Completed orders are final, apart from card disputes handled through the payment provider.
Payments. When a client orders a package, their card is authorized for the full amount and charged when the freelancer accepts the order; if the order is declined, canceled or not accepted in time, the authorization is released and nothing is charged. An accepted custom offer is charged straight away. Card payments are processed by Stripe; EditorFlows never sees or stores card numbers. EditorFlows collects the payment and, when the order completes, pays the freelancer their share (the price less any refund and the commission) to the freelancer's Stripe account. EditorFlows is not an escrow service, and payments are not held in trust. Refunds go back to the original payment method and usually appear within 5 to 10 business days.
Fees. EditorFlows keeps a commission on the part of each order that isn't refunded. The current rate is shown when freelancers set their prices, and EditorFlows may agree a different rate with an individual freelancer. For some freelancers, clients pay a service fee to EditorFlows on top of the listed price on smaller orders; when they do, the fee is shown next to the price and in the order total before checkout, and a refund returns the same share of the service fee as of the price. EditorFlows pays the card processing costs out of its fees.
Getting paid. To sell, freelancers set up a Stripe account through EditorFlows and accept Stripe's Connected Account terms. Stripe verifies their identity and pays out to their bank on its own schedule. EditorFlows can see whether a freelancer's Stripe account is verified and able to receive payouts, and tells Stripe when to transfer their earnings; we never see their bank or tax details. Freelancers are responsible for their own taxes, and EditorFlows may send tax forms where the law requires.
Card disputes. If a client disputes a payment with their bank, EditorFlows responds to the dispute and may hold a payout that hasn't been sent yet until it's resolved.
Keep it on EditorFlows. Clients and freelancers who meet on EditorFlows agree to place and pay for work through EditorFlows rather than arranging payment elsewhere to avoid fees.
Who owns the finished work
Unless the client and freelancer agree otherwise in writing in the order, when an order completes the freelancer transfers ownership of the final deliverables to the client. This doesn't include material the freelancer already owned or licensed from others (such as stock footage, music, fonts, templates and plug-ins), which the client may use only under its license terms. The freelancer may show the work in their portfolio unless the client asks them not to.
